Course Overview

This course provides learners with an understanding of board governance and the behaviours and structures that support effective board performance. Learners will explore board composition, committee structures, board evaluation, director duties, information requirements and the relationship between the board and executive management. The course is suitable for board members, non-executive directors and those supporting board governance.

• Understand the governance responsibilities of the board and individual directors
• Explain the role and independence requirements of non-executive directors
• Apply director duties under the Companies Act 2006
• Understand the purpose and structure of board committees
• Support effective board information and reporting processes
• Understand the board evaluation process and its governance function
